6. Payment Terms

Payment terms will be specified in individual service agreements. Generally:

  • All fees are quoted and payable in British Pounds Sterling (GBP) unless otherwise agreed
  • Invoices are payable within 30 days of issue
  • Client is responsible for any applicable taxes, duties, or levies
  • We reserve the right to suspend services for overdue payments
  • All payment disputes must be raised within 14 days of invoice receipt, unless otherwise agreed in writing

7. Confidentiality

We respect the confidentiality of client information and will not disclose confidential information except as required by law or with explicit consent. Our confidentiality obligations shall continue for a period of 3 years following the termination of our engagement, unless otherwise specified in separate confidentiality agreements.

Confidential information excludes information that: (a) is publicly available, (b) was known to us prior to disclosure, (c) is independently developed without use of confidential information, or (d) is rightfully received from third parties. This does not prevent us from using anonymized or aggregated data for internal analytics or business purposes, provided it does not identify the client.

8. Limitation of Liability

To the fullest extent permitted by law:

  • Our liability is limited to the amount of fees paid for the specific service
  • We exclude liability for indirect, consequential, or special damages, including but not limited to lost profits, lost data, business interruption, or loss of business opportunities
  • Nothing in these Terms excludes liability for death, personal injury, or fraud

9. Indemnification

You agree to indemnify and hold us harmless, to the extent permitted by law, from any claims, damages, or reasonable legal costs arising from: (a) your use of our services in breach of these Terms, (b) your violation of applicable laws, or (c) your breach of confidentiality obligations. This indemnification excludes any claims arising from our gross negligence, fraud, or willful misconduct.

Your total indemnification liability under this section shall not exceed the total fees paid to us in the 12 months preceding the claim.

10. Termination

Either party may terminate service agreements according to the terms specified in individual contracts. We reserve the right to terminate website access for violations of these Terms.

11. Data Protection

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK GDPR and Data Protection Act 2018.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales and subject to the exclusive jurisdiction of the English courts.

12.1 Dispute Resolution Hierarchy

In the event of any dispute, the parties agree to follow this resolution process:

  • Direct negotiation: Good faith discussions between the parties
  • Mediation: If negotiation fails, non-binding mediation through a mutually agreed mediator before initiating court proceedings
  • Litigation: As a last resort, through the English courts

13. Changes to Terms

Your continued use of our services after the notice period constitutes acceptance of the updated Terms.

Minor administrative changes (such as contact information updates) may be made without prior notice.

14. Force Majeure

We are not liable for delays or failures in performance resulting from events beyond our reasonable control, including but not limited to natural disasters, government actions, network failures, cyberattacks, third-party service provider outages (including cloud services, hosting providers, or other technology platforms), or other circumstances beyond our control.

15. No Warranties
